Choosing the right business entity is a significant task for a business owner because it significantly impacts the business’s legal, financial, and operational framework.

How to file a corporation? How to file an LLC? How to file an Statement of Information? How to file a FBN? We are here to help you!

A business can choose to be an LLC, single member (sole proprietor), or multimember (partnership). Additionally, a multimember LLC can choose to be taxed as a corporation.

A business can also choose to file to be a corporation, taxed by default as a C corporation, or  elect to be taxed as an S corporation.

Each option has its own tax implications, liability protection, ownership and management structure, and obligations.

A Fictitious Business Name (FBN), also known as a “doing business as” (DBA), is a name under which a business operates that is different from its legal name. This name is used when a sole proprietor, partnership, LLC, or corporation conducts business under a name that does not include the legal names of the owners or registered business name. A FBN does not create a legal business entity.

Statement of Information filings are required for LLCs and Corporations, every two years or yearly respectively. Failing to file penalties apply.
